PLEASE READ THESE TERMS CAREFULLY, AS THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR LEGAL RIGHTS. THE TERMS REQUIRE DISPUTE RESOLUTION ON AN INDIVIDUAL BASIS RATHER THAN CLASS ACTIONS.
These terms (the “terms”) are between Goodwill of Central and Northern Arizona (“GCNA”) and you and are effective when you electronically accept them. “We,” “us,” or “our” mean GCNA. “You” means the individual or entity who accepts the terms.
The terms incorporate by reference our terms and conditions and apply to your use of our home pickup program, which enables you to donate select items (the “items”) to your local GCNA store (the “services”). We may amend these terms without notice, so you should review them before using the services.
You represent that you are at least eighteen years old. If you accept these terms on behalf of a legal entity, you represent you are authorized to do so. You may not obtain services from us if you do not agree to the terms or if applicable law prohibits you from accepting them.
You warrant that: (i) you own the items, (ii) the items are not subject to a lien, security interest, or another encumbrance, (iii) the items are in an area eligible to receive the services, and (iv) the items are not on our excluded list. To access the excluded list, you may call 602-513-8444 or email GoodwillHomePickup@goodwillaz.org. We may, without liability to you, refuse to accept an item or provide services for any reason. If we refuse an item, we may leave it curbside, and you will be responsible for it.
We may require you to take and send digital photos of the items. Data and messaging rates may apply. If you fail to provide the photos, we may refuse to pick up the items. You will leave the items curbside or at street level and clearly identify them as donations for us. You are solely responsible for loss or damage to the items prior to pick up. You are also solely responsible for loss or damage to a third party or property caused while you are waiting for pick up.
You will indemnify, defend, and hold harmless us, our officers, directors, employees, agents, affiliates, successors, and permitted assigns from all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of any kind, including reasonable attorneys’ fees, resulting from a third-party claim arising from or relating to your breach of these terms, negligence, or more culpable act or omission.
We respect your privacy and are committed to protecting it. Our Privacy Policy governs the processing of all personal data collected from you in connection with the services.
We or our affiliates may contact you by email, phone, and text, including automated dialing technology, for purposes related to the services.
You consent to us recording and photographing the services through a camera mounted on the front and back of our vehicles or otherwise. Recordings can include, but are not limited to, capturing the items, surrounding premises, and individuals at the pickup site.
You will pay the fee for the service (the “fee”) at the time of your order. The fee in effect at the time of your order will apply to that order but is otherwise subject to change without notice. The fee is nonrefundable unless you cancel the services more than 24 hours before their scheduled time by calling 602-513-8444 or emailing GoodwillHomePickup@goodwillaz.org.
THE SERVICES ARE PROVIDED “AS IS” AND WE MAKE NO WARRANTIES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, (A) WARRANTY OF MERCHANTABILITY; (B) WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE; OR (C) ANY WARRANTY AGAINST INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE.
YOU HEREBY WAIVE CLAIMS AGAINST US AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, SUCCESSORS, AND ASSIGNS (THE “RELEASED PARTIES”) FOR LOSSES, DAMAGES, LIABILITIES, DEFICIENCIES, CLAIMS, ACTIONS, JUDGMENTS, SETTLEMENTS, INTEREST, AWARDS, PENALTIES, FINES, COSTS, OR EXPENSES OF WHATEVER KIND, INCLUDING ATTORNEYS’ FEES, THAT ARISE OUT OF OR RELATE TO THE SERVICE, WHETHER ARISING OUT OF OR RELATING TO THE ORDINARY NEGLIGENCE OF THE RELEASED PARTIES. YOU COVENANT NOT TO SUE THE RELEASED PARTIES FOR LIABILITY FOR THESE CLAIMS. WITHOUT LIMITING THE FOREGOING, IN NO EVENT SHALL THE RELEASED PARTIES’ COLLECTIVE LIABILITY EXCEED $250. THIS LIMITATION OF LIABILITY SECTION DOES NOT APPLY TO THE RELEASED PARTIES’ GROSS NEGLIGENCE OR INTENTIONAL MISCONDUCT.
We shall not be liable or responsible to you for a failure to perform an obligation to the extent the failure results from a force majeure event, including but not limited to: (a) acts of God; (b) flood, fire, earthquake, or explosion; (c) war; (d) embargo or blockade; (e) labor strike; (f) telecommunication breakdown, power outage or shortage; or (g) a similar event beyond our reasonable control.
NEITHER YOU NOR WE MAY BRING A DISPUTE AGAINST THE OTHER UNLESS THE DISPUTE IS IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. NEITHER YOU NOR WE WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.
These terms contain the entire understanding of the parties with respect to the subject matter hereof and supersede all prior and contemporaneous written or oral understandings with respect to such subject matter.
Without giving effect to its conflict of law provisions, the law of the State of Arizona governs these terms, and all matters arising out of or relating to them. You agree that the courts in the State of Arizona sitting in Maricopa County have exclusive jurisdiction over any dispute arising out of or related to these terms. If a court or arbitrator holds that any clause in these terms is unenforceable, the unenforceability of that clause does not affect the enforceability of the remaining clauses.
You will not assign or delegate your rights or obligations under these terms without our prior written consent. We may, without your prior written consent, assign or delegate our rights or obligations under these terms in our sole discretion.
No waiver relating to these terms is effective unless it is in writing, identified as a waiver of these terms, and signed by an authorized representative of the party waiving its right. None of the following constitutes a waiver: (i) a failure or delay in exercising a right; or (ii) an act, omission, or course of dealing or performance between the parties.
